Are NDAs Public Record? Lawsuits, SEC Filings, and Exceptions

Non-disclosure agreements are not public records. An NDA is a private contract between the parties who signed it, and no one files it with a court clerk or records it in a government database. It only becomes public when something specific pulls it into a public system: a lawsuit, a bankruptcy case, a securities filing, or a records request aimed at a government agency that signed it.

Why NDAs Stay Private by Default

Signing an NDA creates a binding obligation between the parties and nothing more. There is no filing step, no registry, no public index. The signed copies sit with the people who signed them and their lawyers, and that is where they stay unless one of the triggers below occurs.

That privacy is the point of the instrument. The agreement lets one party share sensitive information with another and keep a legal remedy if it leaks. Its force comes from the threat of a breach-of-contract suit, not from any public status.

Lawsuits Are the Most Common Way NDAs Become Public

The usual route to exposure is enforcement. When one party sues the other for breach, the NDA itself is almost always attached to the complaint as an exhibit, and at that point it becomes part of the court record.

Court records carry a strong presumption of public access. The Supreme Court recognized a common-law right to inspect and copy judicial records in Nixon v. Warner Communications, Inc.1Legal Information Institute. Nixon v. Warner Communications Inc. Federal appeals courts have gone further, finding that the First Amendment supports a qualified right of public access to civil proceedings and their records.2Reporters Committee for Freedom of the Press. The Roots of Access Rights In practice, that means anyone can search a court docket and pull the filings from most civil cases, including any NDA filed as evidence.

If a company sues a former employee over leaked information, the NDA the employee signed will typically be visible on the docket, along with the parties’ names and the scope of what was considered confidential.

Bankruptcy Filings

Bankruptcy is a second common trigger. Federal law states that papers filed in a bankruptcy case are public records, open to examination at reasonable times without charge.3Office of the Law Revision Counsel. United States Code Title 11 – 107 Public Access to Papers If an NDA is tied to a significant business relationship of the debtor, it may need to be disclosed as part of the reorganization plan or asset inventory, and anyone can then pull it through the clerk’s office or PACER.4United States Courts. The bankruptcy court has authority to protect trade secrets and confidential commercial information on request, so exposure is not automatic. Openness is the default, though, and a party who wants protection has to ask for it.

SEC Filings by Public Companies

Publicly traded companies face a separate disclosure duty. Federal securities regulations require them to file “material contracts” as exhibits to registration statements and periodic reports.5eCFR. 17 CFR 229.601 – Item 601 Exhibits If a confidentiality agreement is integral to a major deal, a licensing arrangement, or a partnership the company substantially depends on, it may qualify and end up filed with the SEC, where it is publicly available.

Companies can redact parts of these exhibits if the omitted information is not material and the company genuinely treats it as private. The SEC keeps the right to demand an unredacted copy and to require that redacted information be restored if it does not meet the standard.5eCFR. 17 CFR 229.601 – Item 601 Exhibits The existence of the agreement and its core terms often end up on the public record even when specific commercial details do not.

When a Government Agency Is a Party

If a federal agency signed the NDA, the agreement generally sits inside the Freedom of Information Act system. FOIA gives any member of the public the right to request records held by executive branch agencies, and an NDA in an agency’s files qualifies.6FOIA.gov. Freedom of Information Act FOIA does not reach Congress or the federal courts, and it does not cover state or local governments, though nearly every state has its own public records law.

FOIA has exemptions. The most relevant is Exemption 4, which protects “trade secrets and commercial or financial information obtained from a person and privileged or confidential.”7Office of the Law Revision Counsel. United States Code Title 5 – 552 A response to a FOIA request for an NDA might release the agreement while redacting portions that reveal proprietary technology or financial terms. What a requester typically receives is a version that confirms the agreement’s existence and general structure but shields the most sensitive details.

The practical implication: if your company signs a confidentiality agreement with a federal agency, assume someone could eventually obtain a redacted copy through FOIA, and let that possibility shape what you put in the document.

Keeping an NDA Sealed During a Lawsuit

Filing suit does not guarantee the NDA is exposed. Courts allow parties to ask that sensitive documents be sealed, keeping them off the public docket. The tool is a motion to seal.

Winning one is not simple. Courts require the moving party to show that the harm from disclosure outweighs the public’s interest in open proceedings. Federal judges typically follow a framework that requires public notice of the sealing request, consideration of less restrictive alternatives such as targeted redactions, and specific factual findings explaining why sealing is justified.8United States Department of Justice. United States v. Booz Allen Hamilton Holding Corp. – Plaintiffs Motion for Permission to File Sensitive Information Under Seal A general desire for privacy will not do it. You need concrete harm, such as exposed trade secrets or a competitive advantage handed to a rival.

Partial sealing is a common compromise. The judge redacts the most sensitive terms and lets the rest of the filing stay public. That leaves a public record of the dispute and the general shape of the agreement while keeping the crown-jewel details out of view.

Privacy Is a Separate Question from Enforceability

An NDA that stays private is not necessarily an NDA that works. Recent federal and state laws limit when confidentiality clauses can actually be enforced, and those limits apply whether or not the agreement is public.

The Speak Out Act, signed into law in 2022, blocks judicial enforcement of pre-dispute nondisclosure and nondisparagement clauses in cases involving alleged sexual assault or sexual harassment that violates federal, tribal, or state law.9Congress.gov. Speak Out Act Public Law 117-224 The law does not void the NDA or make it public; it means a court will not help enforce it in those circumstances. NDAs signed after a dispute has already arisen, including settlement agreements, are not affected. A growing number of states have their own restrictions on NDAs in employment and harassment contexts, and the details vary enough that anyone relying on such an agreement should check current law in the relevant state.
