Commercial Registered Office Provider (CROP): Fees and Service

A commercial registered office provider in Pennsylvania is a service authorized under 15 Pa. C.S. § 109 to let your business list its Pennsylvania address, instead of your own, as the registered office on file with the Department of State.1Pennsylvania General Assembly. Pennsylvania Consolidated Statutes Title 15 Chapter 1 Section 109 You get a compliant Pennsylvania address without renting space in the state, and your home or out-of-state address stays off the public corporate record.

What a CROP Does for Your Business

Every business registered in Pennsylvania has to keep a registered office address on file. It must be a real street address or rural route box within the Commonwealth, and a P.O. box alone won’t satisfy the rule.2Pennsylvania General Assembly. Pennsylvania Consolidated Statutes Title 15 Chapter 1 Section 135 A CROP meets that requirement for you. The provider maintains a physical Pennsylvania location, accepts legal documents and government notices addressed to the businesses it represents, and forwards what arrives.

Two groups use CROPs most often. Out-of-state owners forming or registering a Pennsylvania entity, who don’t want to lease space just to have an address. And Pennsylvania residents running a business from home, who don’t want that home address searchable in the Department of State’s online records.

CROP vs. Registered Agent

If you’ve formed a company in another state, you probably picked a “registered agent.” Pennsylvania is structured differently. The statutes focus on the registered office address rather than a named agent, and Pennsylvania does not require you to designate a registered agent as part of business registration.3Pennsylvania Department of State. A CROP can separately act as an authorized agent to accept service of process under Pennsylvania Rules of Civil Procedure 423 and 424, but that role is distinct from the CROP designation and doesn’t have to be publicly filed with the Department of State.3Pennsylvania Department of State. Commercial Registered Office Providers When another state’s paperwork asks for a “registered agent,” a Pennsylvania CROP is the closest equivalent, though the legal mechanics aren’t identical.

How To Appoint a CROP on Your Formation Filing

Before you file, get two things from the provider you’ve chosen: its exact name as registered with the Department of State, and the Pennsylvania county you want listed. The county controls where your business is treated as located for venue and official publication, even if the CROP’s actual office happens to sit in a different county.1Pennsylvania General Assembly. Pennsylvania Consolidated Statutes Title 15 Chapter 1 Section 109 You can confirm both against the provider list on the Department of State website.3Pennsylvania Department of State. On the registered office section of your formation document, you select the CROP option instead of entering your own address. On a Certificate of Organization for an LLC, that means writing “c/o” followed by the CROP’s name and the county.4Pennsylvania Department of State. Filing Fees

Filings go to the Bureau of Corporations and Charitable Organizations, either online through Business Filing Services or by mailing the PDF form with payment. The Department encourages online filing as the faster route.5Pennsylvania Department of State. Registration Forms and Documents The state fees depend on entity type:

  • Domestic LLC (Certificate of Organization): $125
  • Domestic corporation (Articles of Incorporation): $125
  • Foreign LLC or corporation (Foreign Registration Statement): $250

These are Department of State filing fees only, and they’re separate from whatever the CROP charges annually for its service.6Pennsylvania Department of State. Fees and Payments Once the filing is processed, the Department returns a stamped copy of your document as confirmation.

How Service of Process Works Through a CROP

Once the Department of State records your CROP designation, that provider’s address is your official registered office for legal documents. If someone sues your company, service of process goes there.7Pennsylvania Department of State. Service of Process Delivery to that address counts as delivery to your business. A lawsuit you never see still moves forward.

That’s why forwarding speed matters. Most providers send a same-day email scan when something arrives, with physical copies following by mail, though the exact method depends on your agreement. When you compare providers, put forwarding speed and reliability near the top of the list. A delayed notification can turn into a default judgment before you know a case exists.

What Happens if Your CROP Changes or Shuts Down

Under § 109(c), a CROP can amend its filing with the Department of State by submitting a new statement, or it can withdraw by filing a statement of termination.1Pennsylvania General Assembly. Pennsylvania Consolidated Statutes Title 15 Chapter 1 Section 109 If your CROP moves or changes its name, it must file a statement of change of registered office for every business it represents under 15 Pa. C.S. § 108. You don’t have to do anything for that update to take effect.8Pennsylvania General Assembly. Pennsylvania Consolidated Statutes Title 15 Chapter 1 Section 108

Termination is different. Under § 108, once a CROP ends its status, the former provider no longer has any responsibility for documents delivered to that address in your company’s name. Your registered office technically stays on file, but nobody is there to accept anything for you. You’ll need to file a change of registered office to name a new CROP or list your own Pennsylvania street address. Treat any notice from your provider about a change or termination as urgent, because the gap between “no functioning address” and “default judgment” can be short.

Changing Your CROP or Using Your Own Address

To switch providers or replace the CROP with your own Pennsylvania address, you file a Statement of Change of Registered Office with the Bureau of Corporations and Charitable Organizations. The form asks for your current registered office information and the new address or CROP name. You can submit it through Business Filing Services or by mail. If the Department’s records still show a stale address because you skipped this step, service directed there is still valid service on your business.
