CPF and CNPJ in Brazil: What They Are and How Foreigners Register

The CPF and CNPJ in Brazil are the two federal tax identification numbers issued by the Receita Federal: the CPF (Cadastro de Pessoas Físicas) is an eleven-digit number tied to an individual, and the CNPJ (Cadastro Nacional da Pessoa Jurídica) is a fourteen-digit number tied to a legal entity. You need one or the other (sometimes both) to open a bank account, sign a lease, buy property, invest, or run a business in Brazil. Getting one is straightforward if you know which channel applies to you.

What the CPF and CNPJ Actually Are

The CPF is formatted as 000.000.000-00. The first nine digits identify the person; the last two are check digits.1Organisation for Economic Co-operation and Development. The CNPJ is formatted as XX.XXX.XXX/XXXX-XX. The first eight digits identify the company, the four digits after the slash identify a specific branch (0001 is the headquarters), and the last two are check digits.1Organisation for Economic Co-operation and Development. When You Need One

Brazilian citizens receive a CPF automatically at birth through the civil registry, so the people who actually apply are almost always foreigners: property buyers, investors, students, business owners, and anyone opening a Brazilian bank account. Even short-term visitors sometimes need a CPF to sign up for local services or complete a purchase. If you hold any financial interest in Brazil, the Receita Federal expects you to have one.

Any entity domiciled in Brazil must have a CNPJ before starting business activity, and each branch or subsidiary needs its own.2Receita Federal. IN RFB 2119/2022 This covers corporations, limited liability companies (Ltda.), partnerships, foundations, associations, and investment funds.

How To Get a CPF as a Foreigner

Three channels are available. The right one depends on where you are.

Online From Abroad

Non-residents can apply directly through the Receita Federal by completing the Ficha Cadastral de Pessoa Física (FCPF).3Ministério das Relações Exteriores. Cadastro de Pessoa Fisica (CPF) You email the completed form together with a scan of your passport’s photo page to the designated Receita Federal address. Some consulates also want a selfie of you holding your open passport. The CPF number usually comes back by email within a few business days.

Make sure the information on the form matches your passport exactly. Name spelling, date of birth, and the fields for your parents’ names are cross-checked, and any discrepancy sends the application to manual review, which can add weeks.

Through a Brazilian Consulate

Most Brazilian consulates process CPF registrations at scheduled appointments. Bring the completed FCPF, a photo ID showing your full name, date of birth, and nationality (usually your passport), and, for adults, a birth certificate listing your parents.4Ministério das Relações Exteriores. Consulates typically enforce jurisdiction, so you have to apply at the one that covers your place of residence rather than whichever is closest or has faster appointments.

In Person in Brazil

If you are already in Brazil, you can register at Banco do Brasil branches, Correios (post office) locations, or Caixa Econômica Federal offices. The flat fee is R$7.00.5Gov.br. How To Register a CNPJ

Standard business registrations go through the REDESIM portal, created under Lei Complementar 123/2006 to combine federal, state, and municipal steps into one electronic process.6Planalto. Lei Complementar 123 The portal routes the application to the Receita Federal for the CNPJ itself, to the state Junta Comercial, and to the municipal tax department for local permits and service-tax enrollment.

You will need the entity’s Articles of Incorporation or Social Contract, certified, defining ownership and purpose. The application generates a Documento Básico de Entrada (DBE), the formal request document used for any action on the CNPJ registry.7Secretaria da Receita Federal do Brasil. DBE – Documento Basico de Entrada The Receita Federal also records the Quadro de Sócios e Administradores (QSA), the register of shareholders and administrators.8Gov.br. Consultar CNPJ Every person in the QSA must hold a regular CPF. If any listed CPF is suspended, cancelled, or otherwise irregular, the CNPJ registration is blocked entirely.2Receita Federal. The business address has to be verifiable through property tax records or a lease. Once REDESIM cross-checks everything with state and municipal registries, the CNPJ card is issued as proof of the entity’s legal existence.

The Local Representative Requirement

Foreign-owned entities have to name a legal representative domiciled in Brazil, with authority to manage the entity’s assets and represent it before the Receita Federal.2Receita Federal. IN RFB 2119/2022 A partner living abroad does not qualify. Someone with a valid CPF and a Brazilian address has to fill this role, and this is where many foreign founders get stuck.

The MEI Shortcut

Sole proprietors earning up to R$81,000 per year can register as a Microempreendedor Individual (MEI) through the Portal do Empreendedor. The CNPJ is generated automatically and for free, without the full documentation load of a standard registration. It is the most common way freelancers and small service providers enter the formal economy.

Checking Your Registration Status

Both registries carry a status classification called the Situação Cadastral. An irregular status can quietly block transactions, so it is worth checking now and then.

CPF

You can look up your CPF status on the Receita Federal’s consultation tool using your number and date of birth.9Gov.br. Consultar Cadastro de Pessoa Física (CPF) na Receita Federal “Regular” means everything is current. “Pendente de Regularização” usually means a required income tax return was not filed, and submitting the missing return is normally enough to restore the status. A suspended CPF can be fixed through the online regularization tool.10Receita Federal. Pedido de Regularização do CPF A cancelled CPF is more serious and generally requires in-person resolution. Until the status returns to regular, you are effectively locked out of the financial system.

CNPJ

The Receita Federal classifies every CNPJ into one of five categories:

  • Ativa (Active): the entity is in good standing and can operate normally.
  • Suspensa (Suspended): irregularities have been flagged, such as an unverifiable address, inconsistencies in filings, or a pending audit. Limited operation is allowed while the issue is resolved.
  • Inapta (Inept): the entity has missed required tax declarations by 90 days past the deadline. An inept CNPJ cannot issue invoices, sign contracts, or take part in government procurement.
  • Baixada (Closed): the entity has been shut down, either voluntarily or by the Receita Federal after prolonged inactivity or unresolved inaptidão.
  • Nula (Null): the registration has been voided retroactively, usually because of fraud or a defect in the original application, invalidating the entity’s fiscal history.

Any CNPJ’s status can be checked through the public consultation tool on gov.br. It is worth running that check before signing contracts with a Brazilian company; a suspended or inept counterparty is a warning sign.

Penalties and Practical Consequences

Providing false information during CNPJ registration is a criminal offense under Law 8.137/90, which covers tax fraud and can carry prison time. Entities that fail to submit required annual tax declarations face monthly fines from R$500 to R$1,500 depending on the entity type, and prolonged non-filing leads to the CNPJ being declared inapta within 90 days of the missed deadline.

The practical fallout usually hurts more than the fines. A company with an inapt CNPJ cannot issue invoices, which means it cannot collect payment or sell goods, and banks and suppliers run status checks routinely. For individuals, an irregular CPF can trigger a cascade: loans denied, benefits frozen, and even an inability to file the tax return needed to fix the status, a bureaucratic loop that sometimes takes professional help to break.
