To become a secured party creditor, you extend value to a borrower under a written security agreement that pledges specific property as collateral, then file a UCC-1 Financing Statement with the correct state office to perfect your claim against everyone else. That is the entire mechanism. Three steps: a real loan (or other value), a signed agreement describing the collateral, and a public filing in the right place under the right name. Get any of them wrong and you may still have a contract with your borrower, but you will not have the priority that makes secured lending worth doing.

A lot of people search this phrase after hearing that they can file a UCC-1 against themselves, against a government official, or against a fictitious “strawman” version of their own name to unlock Treasury accounts or discharge debts. That is a fraud scheme, not a legal strategy. The FBI has described these filers as people who “file legitimate IRS and Uniform Commercial Code forms for illegitimate purposes, believing that doing so correctly will compel the U.S. Treasury to fulfill its debts.”1FBI Law Enforcement Bulletin. Sovereign Citizens: A Growing Domestic Threat to Law Enforcement It does not work.
Filing a fake lien against a federal judge, prosecutor, or law enforcement officer carries up to 10 years in federal prison.2Office of the Law Revision Counsel. 18 U.S. Code 1521 – Retaliating Against a Federal Judge or Federal Law Enforcement Officer by False Claim or Slander of Title States have their own statutes reaching false liens against anyone. Becoming a secured party creditor means someone actually borrowed value from you and actually agreed to pledge property. Everything below assumes that is the situation.
Step 1: Give Value Under a Signed Security Agreement
A security interest is enforceable only when three things are true at the same time: you have given value, the debtor has rights in the collateral, and the debtor has signed (or electronically authenticated) a security agreement that describes the collateral.3Legal Information Institute. UCC 9-203 – Attachment and Enforceability of Security Interest; Proceeds; Supporting Obligations; Formal Requisites Meet those three and the interest “attaches.” Attachment makes the interest enforceable between you and the borrower. It does nothing yet against other creditors or a bankruptcy trustee.
The agreement itself does not need to be long, but it needs to be precise. Identify both parties. Describe the collateral clearly enough that a stranger could tell what property is covered. Get the debtor’s signature. Beyond those minimums, spell out the debt being secured, what counts as default, what remedies you have, the debtor’s duty to insure and maintain the collateral, any restrictions on selling or moving it, and which state’s law governs the relationship. A choice-of-law clause helps when the parties cross state lines, though certain UCC questions — where to file, who has priority — follow mandatory rules that a contract cannot override.
Spend real time on the collateral description. Vague language like “all of the debtor’s stuff” will not hold up. Use the categories Article 9 already recognizes (equipment, inventory, accounts, general intangibles) and be specific. For a particular machine, list the serial number. For a blanket lien on business assets, describe each category by name.
Collateral itself can be almost anything of value: equipment, inventory, vehicles, raw materials on the tangible side; accounts receivable, investment accounts, intellectual property, and payment rights on the intangible side. The type matters because it drives how you perfect in the next step.
Step 2: Perfect Your Interest
Perfection is what converts your private agreement into a claim the rest of the world has to respect. An unperfected interest loses to a perfected one every time and generally gets wiped out in bankruptcy. How you perfect depends on what the collateral is.
Filing a UCC-1 Financing Statement
For most collateral, you perfect by filing a UCC-1 with the Secretary of State in the state where the debtor is located.4Legal Information Institute. UCC Financing Statement For a registered business, that is the state where it was formed. For an individual, it is the state of their principal residence. File in the wrong state and you are effectively unfiled.
The most common way to ruin an otherwise valid filing is to get the debtor’s name wrong. For a registered entity, the name on the UCC-1 must match the entity’s public organizational records exactly.5Legal Information Institute. UCC 9-503 – Name of Debtor and Secured Party For an individual, most states require the name on the driver’s license. A misspelling that hides the filing from a standard search wipes out perfection even though the paper is sitting in the file. Before you submit, run a search in the target office’s database and confirm exactly how the name appears.
Fees vary. Online filings usually cost less than paper, and most states charge somewhere in the $10 to $100 range for an initial UCC-1. Some jurisdictions add per-page fees for longer filings.
Perfection by Possession or Control
Some collateral is perfected another way. You can perfect by physically possessing negotiable documents, goods, instruments, money, and tangible chattel paper.6Legal Information Institute. UCC 9-313 – When Possession by or Delivery to Secured Party Perfects Security Interest Without Filing A pawnshop holding merchandise is the textbook example.
For deposit accounts, investment securities, and commodity contracts, perfection requires “control.” Control usually means a written agreement with the bank or brokerage under which the institution will follow your instructions about the account without needing further permission from the debtor.7Legal Information Institute. UCC 9-314 – Perfection by Control For deposit accounts and investment property, an interest perfected by control generally beats one perfected only by filing, so the extra setup is worth it when financial assets are on the table.
Step 3: Protect the Priority You Just Bought
Perfection puts you in a line. Priority decides who gets paid from the collateral first when the borrower defaults or several creditors show up at once.
Search Before You File
Before you extend credit, run a UCC search against the debtor’s name in the relevant state office. The results show every active financing statement filed against that debtor and against what property. If the collateral you were counting on is already encumbered, you would be filing into a junior position, and junior creditors often recover nothing. Basic online lookups are typically free; certified search reports, which apply standardized search logic and produce court-usable documentation, generally run up to around $25.
Know the Priority Rule and Its Main Exception
The general rule is first in time, first in right. Among perfected interests, the earliest filed or perfected wins. A perfected interest always beats an unperfected one. Between two unperfected interests, the first to attach wins.8Legal Information Institute. UCC 9-322 – Priorities Among Conflicting Security Interests in and Agricultural Liens on Same Collateral
The important exception is the purchase money security interest. If you finance the debtor’s acquisition of a specific piece of collateral and take a security interest in that item, you can jump ahead of an earlier blanket lien covering all the debtor’s equipment, provided you perfect before or within 20 days of the debtor receiving the goods. Without that rule, a borrower with an existing blanket lien could never finance new purchases from a different lender.
Keep the Filing Alive
A UCC-1 expires five years after it is filed.9Legal Information Institute. UCC 9-515 – Duration and Effectiveness of Financing Statement; Effect of Lapsed Financing Statement When it lapses, perfection vanishes as if you never filed. Later filers move ahead of you. A bankruptcy trustee can void the whole interest.
To hold your place, file a UCC-3 continuation statement during the six months before the five-year mark.9Legal Information Institute. UCC 9-515 – Duration and Effectiveness of Financing Statement; Effect of Lapsed Financing Statement Too early does not count. One day late loses your priority. Calendar the continuation for around four and a half years out, not at the deadline.
Use the UCC-3 for changes too. If the debtor’s legal name changes, update the filing. If the collateral description needs to expand or contract, amend it. An amendment that adds new collateral is effective for that collateral only from the amendment date and does not relate back to the original filing.10Legal Information Institute. UCC 9-512 – Amendment of Financing Statement Amendments also do not reset the five-year clock.
When the debt is paid, you file a UCC-3 termination. For consumer goods, the secured party must terminate within one month of satisfaction, or within 20 days of a written demand from the debtor, whichever is first.11Legal Information Institute. UCC 9-513 – Termination Statement For other collateral, the debtor sends a written demand and you have 20 days. Sitting on a paid-off filing exposes you to liability and blocks the debtor from using that property to borrow elsewhere.
Watch for a Move Across State Lines
Because your UCC-1 sits in the debtor’s home state, a move creates a problem. The original filing stays effective for four months after the debtor relocates.12Legal Information Institute. UCC 9-316 – Effect of Change in Governing Law Miss that window and perfection lapses retroactively, treated as if you had never perfected. Anyone who filed in the new state during the gap moves ahead of you. Put a covenant in the security agreement requiring advance notice of any change in principal residence or state of organization, and check in periodically. For entity debtors, watch for redomestication or conversion filings.
What Being a Secured Party Actually Gets You
All of this exists so that if the borrower defaults, you can go after the collateral instead of standing in line with unsecured creditors. Article 9 gives you two paths: take possession and sell, or accept the collateral in satisfaction of the debt.
After default, you can take possession through court process or through self-help repossession, so long as you do not breach the peace.13Legal Information Institute. UCC 9-609 – Secured Party’s Right to Take Possession After Default “Breach of the peace” is not tightly defined, but it rules out force, threats, and trickery, and you must back off if the debtor objects in person. If confrontation is possible, use the courts.
Once you have the collateral, you can dispose of it by public or private sale. Every element of the sale — method, timing, place, terms — must be commercially reasonable.14Legal Information Institute. UCC 9-610 – Disposition of Collateral After Default A quiet discount sale to a friend is not. You must also send the debtor reasonable advance notice of the sale describing the collateral and identifying whether the sale will be public or private.15Legal Information Institute. UCC 9-611 – Notification Before Disposition of Collateral Skip that notice or send it late and you can lose the right to collect any deficiency from the debtor.
As an alternative, you can propose to keep the collateral in full or partial satisfaction of the debt. The debtor has to consent, and any subordinate creditor can object; a timely objection forces you back to a sale. This strict foreclosure route works best when the collateral’s value roughly matches the remaining debt.
Why Perfection Really Matters: Bankruptcy
When the debtor files for bankruptcy, the automatic stay immediately halts repossession, lien enforcement, and pending collection lawsuits.16Office of the Law Revision Counsel. 11 U.S. Code 362 – Automatic Stay Violating the stay draws sanctions.
A properly perfected security interest survives bankruptcy in most cases. The collateral stays subject to your lien, and the trustee generally cannot strip it. If the debtor has no equity in the collateral and it is not needed for reorganization, you can move for relief from the stay to repossess and sell. An unperfected interest, by contrast, is demoted to an unsecured claim and can be avoided by the trustee entirely. That is why perfection is the whole point of becoming a secured party creditor rather than an ordinary lender.
