To form a DAO LLC, you register a decentralized autonomous organization as a limited liability company in one of the handful of states whose statutes recognize the structure: Wyoming, Tennessee, Utah, or Vermont. The process looks like a standard LLC filing with a few extras. You pick a formation state, choose whether members or smart contracts run the show, line up a registered agent and a smart contract address, file articles of organization with the Secretary of State, pay the filing fee, and then stay on top of annual reports and governance activity so the state doesn’t dissolve the entity out from under you.
The reason to bother is personal liability. A DAO that never registers isn’t in a legal vacuum; courts have treated it as a general partnership. In the federal case involving the bZx protocol, the court found that governance-token holders had management rights, shared profits and losses, and contributed property, which met every element of a general partnership. That meant any token holder could be pursued for the full amount of a judgment against the DAO. Wrapping the organization in an LLC caps each member’s exposure at what they put in.
Pick a Formation State
Only a few states have statutes built for this. Wyoming was first, with its Decentralized Autonomous Organization Supplement, which treats a DAO LLC as a specialized form of its regular LLC.1Justia Law. Wyoming Statutes 17-31-101 – Short Title Tennessee has its own chapter on decentralized organizations and the role of smart contracts in managing them.2Justia Law. Tennessee Code 48-250-101 – Chapter Definitions Utah has a dedicated chapter on how a DAO may be formed and governed.3Utah Legislature. Utah Code 48-5-101 – Definitions Vermont also recognizes blockchain-based entities, though it takes a different structural approach.
Wyoming’s statute is the most detailed on governance elections and dissolution and the most commonly used, so the specifics in the rest of this article generally reflect Wyoming’s rules. If you form in Tennessee, Utah, or Vermont, read that state’s statute carefully, because the fine points differ.
Choose Member-Managed or Algorithmically Managed
Wyoming requires you to declare in the articles of organization how the DAO will be managed and how much of that management runs through code.4Justia Law. Wyoming Statutes 17-31-104 – Definition and Election of Decentralized Autonomous Organization This goes on the public record.
A member-managed DAO LLC works like a partnership-style LLC. Members vote on proposals and control the treasury, even if they do it with on-chain tools. Smaller groups that want human judgment as the backstop usually land here, especially for things the code wasn’t built for, like responding to a lawsuit or signing a contract with an outside vendor.
An algorithmically managed DAO LLC gives the smart contracts the wheel. The code executes governance functions automatically based on pre-set rules.5Wyoming Secretary of State Business Division. Decentralized Autonomous Organization (DAO) – Frequently Asked Questions Choose this if you want the protocol to move treasury funds or change parameters without a human sign-off on each action.
Most real DAO LLCs fall between the two, with smart contracts handling routine operations and members stepping in for edge cases. The articles should describe that blend honestly.
Gather What You Need Before Filing
A DAO LLC filing needs a few things a standard LLC doesn’t.
- A registered agent in the formation state. This is a person or service with a physical address who accepts legal papers and government notices for the DAO. A wallet address won’t do. You don’t have to live in the state, but your registered agent must be there.5Wyoming Secretary of State Business Division. Decentralized Autonomous Organization (DAO) – Frequently Asked Questions
- A publicly available smart contract identifier for any contract that directly manages or operates the DAO. In practice this is the on-chain contract address. Wyoming requires it in the articles of organization. If you file without it, you have 30 days to add it by amendment; miss that window and the state dissolves the entity.6Justia Law. Wyoming Statutes 17-31-106 – Articles of Organization7Wyoming Secretary of State. Wyoming Decentralized Autonomous Organization Supplement
- A governance statement explaining how members manage the organization and how much of that management runs through code.4Justia Law. Wyoming Statutes 17-31-104 – Definition and Election of Decentralized Autonomous Organization
- An operating agreement that, together with the articles and smart contracts, covers member rights, voting, token transferability, dispute resolution, code update procedures, and distributions before dissolution. Where the code and articles are silent, a written or electronic operating agreement fills the gap. Put the off-chain scenarios here: a code exploit, an off-chain dispute, tax handling.6Justia Law. Wyoming Statutes 17-31-106 – Articles of Organization
If your contracts aren’t deployed yet, you can still file in Wyoming. Just know the 30-day clock starts the moment you do.
File the Articles of Organization
The main filing document is the articles of organization, submitted to the Secretary of State in your formation state. Wyoming and Utah both publish forms on their Secretary of State or Division of Corporations websites.8Wyoming Secretary of State. Decentralized Autonomous Organization Limited Liability Company Articles of Organization Most states accept online filing with an immediate receipt confirmation.
Fees vary. Wyoming charges $100 for articles of organization. Other states set their own rates, and some offer expedited processing for an extra fee.
Processing takes longer than many founders expect. Wyoming’s filing form states up to 15 business days from receipt.8Wyoming Secretary of State. Decentralized Autonomous Organization Limited Liability Company Articles of Organization Utah’s time depends on volume.9Utah Division of Corporations and Commercial Code. Decentralized Autonomous Organization If the state spots an error, the papers come back for correction and the clock resets.
Once approved, the state issues a certificate of organization. You use that certificate to obtain a federal Employer Identification Number from the IRS, open a bank account, and sign contracts in the DAO’s name. Until it’s in hand, the DAO LLC doesn’t legally exist.
Keep the Entity From Being Dissolved
This part catches people off guard. A standard LLC essentially stays alive until someone kills it. A Wyoming DAO LLC can be dissolved involuntarily under several conditions:7Wyoming Secretary of State. Wyoming Decentralized Autonomous Organization Supplement
- Inactivity. If the DAO approves no proposals and takes no actions for a full year, it is subject to dissolution. Even a routine proposal resets the clock.
- Missing smart contract identifier. File without it and fail to provide it within 30 days, and the Secretary of State dissolves the entity.
- No lawful purpose or no human control. The organization must keep serving a lawful purpose and stay under the control of at least one natural person.
- Member vote. A majority of members can vote to dissolve at any time.
- Smart contract or operating agreement events. If the code or operating agreement sets out dissolution conditions, they’re enforceable.
- Complete member withdrawal. If every member leaves, the entity dissolves.
The one-year inactivity rule is the trap. If your DAO is in a holding pattern while developers build the next version, push through at least one governance action before the 12-month mark. Once the trigger hits, an interested party can petition a court to make the dissolution official.
Beyond that, every state with a DAO LLC statute requires ongoing filings. Wyoming’s annual report is due in the anniversary month of your original formation. Miss it and you face administrative dissolution, which strips the liability protection you formed the entity to get. If the governing contracts are upgraded or redeployed to a new address, amend the articles to reflect the change; the statute requires your governing documents to address how smart contracts get modified.6Justia Law. Handle Taxes
Registering as an LLC doesn’t eliminate taxes; it just sets how they flow. A DAO LLC with two or more members defaults to partnership tax treatment under IRS rules.10Internal Revenue Service. LLC Filing as a Corporation or Partnership The entity files Form 1065, and each member gets a Schedule K-1 showing their share of income, deductions, and credits to report on their individual return. You can elect corporate tax treatment by filing Form 8832, but most DAOs stick with the partnership default to avoid double taxation.
Digital assets in the treasury add work. The IRS treats cryptocurrency, stablecoins, and NFTs as property, not currency.11Internal Revenue Service. Digital Assets Every disposal, whether a sale, swap, or distribution to members, is its own taxable event. The entity needs to log asset type, transaction date, number of units, and fair market value in U.S. dollars at the time. Governance tokens distributed to members are generally ordinary income at fair market value on the date of receipt, and a later sale triggers a separate capital gain or loss calculation.
As of 2026, the IRS has not published entity-level guidance specific to DAOs. Tax professionals apply existing partnership or corporation rules depending on the election. New digital-asset broker reporting rules taking effect in 2026 may eventually produce more tailored guidance, but for now the standard LLC framework governs.
One practical note before you form: generating K-1s for dozens or hundreds of token holders is a real logistical burden. Some DAO LLCs cap membership at a manageable number or elect corporate treatment to avoid pass-through reporting entirely. Plan for this at the formation stage, not at tax time.
Know What the LLC Doesn’t Cover
Forming the entity gives you state-law liability protection. It does not insulate the DAO from federal regulators.
The SEC’s 2017 investigative report on “The DAO” concluded that governance tokens sold to investors were securities under the Howey test because purchasers invested money in a common enterprise with a reasonable expectation of profits from the efforts of others.12U.S. Securities and Exchange Commission. Report of Investigation Pursuant to Section 21(a) of the Securities Exchange Act of 1934 The analysis turns on economic reality, not labels. The SEC’s framework for digital assets flags factors like a core team driving development, a network that isn’t fully functional, team control over token supply through burns or buybacks, and purchaser expectations of appreciation tied to the team’s work.13U.S. Securities and Exchange Commission. Framework for Investment Contract Analysis of Digital Assets
The CFTC is a separate concern. A DAO that facilitates leveraged or margined trading of digital commodities without registering as a derivatives exchange can face enforcement, and the CFTC has treated governance-token holders as members of an unincorporated association collectively responsible for the protocol’s violations.
A DAO that manages a treasury or facilitates token transfers may also need to evaluate whether it qualifies as a money services business under FinCEN rules. An MSB that transmits money or value must register with Treasury within 180 days of establishment and comply with anti-money-laundering requirements.14FinCEN.gov. Money Services Business (MSB) Registration Failure to register carries civil and criminal penalties.
On beneficial ownership, there’s good news for now. FinCEN issued an interim final rule in March 2025 removing beneficial ownership information reporting requirements for all entities created in the United States.15FinCEN.gov. FinCEN Removes Beneficial Ownership Reporting Requirements for US Companies and US Persons Only entities formed under foreign law and registered to do business in a U.S. state or tribal jurisdiction have to file. A DAO LLC formed in Wyoming, Tennessee, or Utah is domestic and currently exempt. That could change if FinCEN issues a new final rule reinstating domestic reporting, so check FinCEN’s rulemaking page periodically. As of 2026, no BOI report is required for a domestic DAO LLC.
