How to Terminate an Employee: Scripts, Paperwork, and Checklist

To terminate an employee cleanly, get the legal footing and paperwork settled before anyone sits down, hold a short meeting with a witness present, and finish the administrative steps (final pay, benefits notices, access revocation) on the timelines the law sets. The meeting itself should run ten to fifteen minutes. Almost everything that protects the company happens on either side of it.

Confirm You Have Lawful Grounds

Every state except Montana follows at-will employment, so either side can end the relationship at any time for any lawful reason. The word doing the work in that sentence is “lawful.” You cannot fire someone because of race, sex, age, national origin, disability, or genetic information, and you cannot fire someone for reporting illegal or unsafe workplace practices.1USAGov. Termination Guidance for Employers Employees under a written contract or a union collective bargaining agreement sit outside at-will rules entirely, and their agreements dictate the process.

Before you schedule the meeting, look at the paper trail. If the termination is for performance, there should be documented warnings the employee has already seen. If it is for a policy violation, the policy should be in writing and the violation should be documented. A termination that surprises the employee because nothing was ever put in writing is the kind that turns into a claim.

Prepare the Paperwork Before the Meeting

Assemble a folder (or a secure digital package for a remote employee) with every document finalized. Fixing a number mid-conversation invites the employee to question whether the decision was equally sloppy.

Termination Letter

The letter states the effective date and the specific policy or performance basis for the decision. Keep the language factual and short. This letter becomes the primary exhibit in any unemployment hearing or lawsuit, so every word should be defensible.

Final Paycheck

Final pay covers all hours worked through the last shift plus any accrued unused vacation your policy or state law requires you to pay out. Federal law does not require handing over the check on the spot; the FLSA requires payment by the next regular payday for that pay period.2U.S. Department of Labor. Last Paycheck State law is where the real deadlines live and they vary widely, with some states demanding immediate payment on an involuntary termination and others allowing until the next scheduled payday. Several states impose daily penalties for missing the deadline. Check your state’s labor agency before the meeting so you can tell the employee exactly when the money will land.

One trap to avoid: you cannot withhold the final paycheck until the employee returns a laptop or badge. The FLSA requires timely payment of wages regardless of company property, and most state wage-deduction laws reinforce that.

COBRA Election Notice

If the company has 20 or more employees and a group health plan, the termination is a qualifying event that triggers COBRA rights.3U.S. Department of Labor. FAQs on COBRA Continuation Health Coverage for Workers You must notify the plan administrator within 30 days of the termination. The plan administrator then has 14 days to send the election notice to the employee and any covered dependents.4Office of the Law Revision Counsel. 29 USC 1166 – Notice Requirements The employee gets 60 days from receiving the notice to elect coverage.5CMS. COBRA Continuation Coverage Questions and Answers

Missing these requirements triggers an excise tax of $100 per day per affected beneficiary, running until the violation is corrected.6Office of the Law Revision Counsel. 26 USC 4980B – Failure to Satisfy Continuation Coverage Requirements A family of four on the plan is $400 a day. Have the notice ready to hand over or queued for immediate mailing.

Severance Agreement

Not every termination includes severance. When it does, the agreement usually asks the employee to waive the right to sue in exchange for the payout. If the employee is 40 or older, the Older Workers Benefit Protection Act sets strict rules for a valid waiver of age discrimination claims. The employee must get at least 21 days to consider the offer (45 days if the termination is part of a group layoff or exit incentive program), and 7 days after signing to revoke. The agreement is not enforceable until that revocation window closes.7Office of the Law Revision Counsel. 29 USC 626 – Recordkeeping, Investigation, and Enforcement The agreement must also advise the employee in writing to consult an attorney.8U.S. Equal Employment Opportunity Commission. Q and A – Understanding Waivers of Discrimination Claims in Employee Severance Agreements Rushing an employee through a severance signing is one of the fastest ways to invalidate the waiver you paid for.

Retirement Plan Options

If the employee participates in a 401(k) or similar plan, include a rollover notice explaining their choices: leave the balance in the current plan (employers can force a rollover if it is under $5,000), roll it into a new employer’s plan, roll it into an IRA, or take a cash distribution. A cash withdrawal triggers income tax on the full amount plus a potential 10 percent early distribution penalty for employees under age 55, and the plan must withhold 20 percent for federal taxes on any distribution that is not a direct rollover.9Internal Revenue Service. Property Return Checklist

Write out every company asset assigned to the employee: laptop, phone, badges, keys, parking pass, corporate credit card. During the meeting you check items off and both parties sign the acknowledgment. That signature is what prevents a “nobody asked for it back” defense months later.

Who Should Be in the Room

Always have a second company representative present. This is not optional. The witness gives a corroborating account of what was said if the employee later claims they were promised continued benefits, told something discriminatory, or threatened. An HR representative is the natural pick because they can also answer benefits questions on the spot.

Brief the witness on their role before the meeting: observe, take notes, and do not volunteer opinions or commentary. The manager delivers the message. The witness documents it.

Run the Meeting

Keep it between five and fifteen minutes. The longer it runs, the more likely someone says something they should not have.

Open With the Decision

As soon as the employee sits down, state the purpose: “This meeting is to let you know that your employment with the company is ending, effective today.” Skip the small talk. Asking about someone’s weekend feels manipulative the moment the real message lands.

Give the Reason in One or Two Sentences

Reference the specific policy violation or the documented performance issues. Something like: “As we discussed in your written performance reviews in March and June, the sales targets were not met, and improvement has not been sufficient.” Tie the reason to something already in writing. If there is no documented trail, that is a problem you should have fixed before scheduling this meeting.

Walk Through the Paperwork

Hand over the folder and name each document briefly: termination letter, final pay details, information about continuing health insurance, retirement account options. If there is a severance agreement and the employee is 40 or older, state the timeline out loud: “You have 21 days to review this, and 7 days after you sign during which you can change your mind.”7Office of the Law Revision Counsel. 29 USC 626 – Recordkeeping, Investigation, and Enforcement

Handle Pushback

Expect emotion. Some employees will argue, plead, or try to relitigate past incidents. This is where managers get into trouble by engaging with the substance of the argument. Redirect calmly and consistently: “I understand this is difficult. The decision has been made and is final.” Repeat as needed. Do not debate the merits, offer new justifications, or make concessions you have not pre-approved. Every unscripted statement can become evidence.

Close With Logistics

End with the immediate steps: “We’ll collect your badge and laptop now, and [HR representative] will walk you to gather your personal items. Any future questions should go through HR at [phone number or email].” Skip “I’m sorry” and “I wish you the best,” which can ring hollow and occasionally get twisted in later proceedings as admissions.

If the Meeting Has to Happen Remotely

Video is the next best option because both sides can read expressions. Never terminate someone by email or text.

Schedule the call with the employee and the witness simultaneously and announce everyone on the call at the start. Watch time zones and avoid the employee’s late evening or early morning. The script is identical. Tell the employee the full document packet will arrive by overnight courier.

For equipment, provide a prepaid shipping label and a reasonable deadline, typically five to seven business days. You still cannot hold the final paycheck while waiting for the box to arrive.2U.S. Department of Labor. Last Paycheck Coordinate with IT to revoke access at the moment the call begins or right after it ends.

Recover Property and Cut Access

Once the conversation is over, work the property checklist. The employee hands over each item (or, remotely, commits to shipping it) and signs the acknowledgment. Do not skip the signature because it feels awkward.

IT access revocation should happen at the same time as the meeting or immediately after: email, VPN, cloud storage, internal databases. If the employee had administrative privileges, change shared passwords on anything they could reach. Federal IT security guidance treats access revocation as something that should occur at the same time or just before notification.10U.S. General Services Administration. IT Security Procedural Guide – Termination and Transfer CIO-IT Security-03-23 Waiting until the next business day is an unnecessary risk.

If the employee signed a non-disclosure or non-compete when hired, remind them of those obligations during the meeting and include a copy of the signed agreement in the packet. If the employee is heading to a competitor or had access to trade secrets, loop in legal counsel before the meeting.

When to Add Security

Most termination meetings are uneventful. The ones that are not tend to go badly. CISA recommends that organizations develop mandatory safety protocols specifically for termination meetings and maintain early intervention procedures when employees exhibit threatening behavior.11Cybersecurity and Infrastructure Security Agency. Preventing Workplace Violence – Security Awareness Considerations

Warning signs that justify additional security include a pattern of escalating hostility toward supervisors, previous verbal or written threats, refusal to acknowledge documented performance problems, and exaggerated or aggressive physical gestures during prior confrontations.12USDA. Potential Violence in the Workplace – Indicators When any of those are present, hold the meeting in a room near an exit, keep security nearby, and brief the front desk. Err toward caution.

Regardless of risk level, escort the departing employee to collect personal belongings and walk them out through a low-traffic route. This protects their dignity and prevents awkward encounters with coworkers who do not yet know.

After the Meeting

File the Separation Report

Within a few days, file a separation report with your state unemployment agency. Requirements vary: some states require reporting within 24 hours through an online portal, others allow up to 10 days. The report includes the reason for separation, which the state uses to determine benefit eligibility. Filing promptly protects you from default determinations that assume the employer was at fault.

Decide the Reference Policy

Decide now what the company will say when a prospective employer calls. A neutral reference (job title, dates of employment, nothing more) virtually eliminates defamation exposure. If your policy is different, make sure everyone who might take a reference call knows exactly what they can and cannot say. Inconsistent references create liability that did not need to exist.

Build the Termination File

Compile everything into a single file: termination letter, signed property acknowledgment, witness meeting notes, severance agreement if any, copies of prior performance warnings, and any related correspondence. Federal anti-discrimination laws generally require retaining employment records for at least one year after termination, and some state requirements run longer. Store the file where you can retrieve it fast if an unemployment claim, EEOC charge, or lawsuit surfaces six months from now.
