Manufacturer Authorization Form: Signing, Bid Submission, and Renewal

A Manufacturer’s Authorization Form is a letter, prepared on the manufacturer’s letterhead, confirming that a named reseller has permission to bid on and supply that manufacturer’s products for a specific procurement. To fill one out and submit it, pull the project details from the solicitation, use the template the tender provides if there is one, get it signed by someone with authority to bind the manufacturer, and include the signed form in your bid package before the submission deadline. Missing or nonconforming forms get bids rejected on the spot, so the work you do here is what keeps your bid alive through the first compliance screening.1Acquisition.GOV. 14.404-2 Rejection of Individual Bids

What the Form Has to Contain

Every version of this form carries the same core fields. Procurement officers check each one during compliance review, so populate them accurately against the solicitation documents.

  • The manufacturer’s official letterhead, showing the company name and address. A letter on the reseller’s own letterhead will be rejected.2European Bank for Reconstruction and Development. Manufacturer’s Authorisation
  • The client or buyer name, spelled exactly as it appears in the tender documents.
  • The procurement reference number that ties the authorization to a single project.2European Bank for Reconstruction and Development. Manufacturer’s Authorisation
  • The full legal name and address of the reseller submitting the bid.
  • A description of the goods, equipment, or plant being offered, along with the factory addresses where the items are manufactured.
  • A statement that the manufacturer extends its full guarantee and warranty to the goods supplied through the authorized reseller.
  • A signature block with the name, position, and signature of the person signing on behalf of the manufacturer. That person must be competent and have authority to bind the manufacturer.3International Organization for Migration. Manufacturer’s Authorization Form

If your bid covers goods from more than one manufacturer, you need a separate authorization form from each. One form covering multiple manufacturers is not acceptable.2European Bank for Reconstruction and Development. Filling In the Form

Start with the solicitation documents. Many tenders include a pre-formatted template, sometimes labeled “Form 3” or listed in the “Section V: Forms” portion of the bid package. Use it. Substituting your own format invites a nonresponsive finding, because procurement officers check for exact compliance with the solicitation’s requirements.

Where no template is provided, draft the letter using the standard elements above. International procurement templates have settled on the same structure over decades: the manufacturer identifies itself and its factory locations, names the authorized reseller, references the specific tender, describes the goods, and extends the warranty. In practice the declaration reads that the manufacturer authorizes the named reseller to submit a bid, negotiate, and sign the contract for the specified goods, and extends its full guarantee and warranty for those goods.3International Organization for Migration. Check every reference number and product description against the solicitation. A transposed digit in the tender reference, or a vague product description like “computer equipment” in place of the specific model line, gives a procurement officer grounds to question the form. You are unlikely to get a chance to correct these details after the submission deadline.

Getting the Manufacturer to Sign

Send the draft to the manufacturer’s channel sales team, partner operations group, or legal department, whichever manages reseller relationships. Reach out as early as possible. Large manufacturers with global partner networks may take a week or more to process the request, especially where a regional director or legal review has to confirm your partnership is current and in good standing.

The manufacturer will verify several things before signing: that you are an active authorized partner, that the products fall within the scope of your distribution agreement, and that the tender terms do not conflict with existing channel policies. If any of these checks fail, the manufacturer will decline to sign, and you cannot submit the bid with that manufacturer’s products.

The signer needs authority to bind the manufacturer. Common titles include Vice President of Sales, Director of Channel Operations, or Regional General Manager. A signature from a sales representative or account manager who lacks delegated authority may not satisfy the procurement agency. Confirm the signer’s authority before the form is finalized, because buyers sometimes follow up by contacting the manufacturer directly to verify that the authorization is genuine and that the signer is a real employee with the claimed authority.

Electronic Signatures Versus Wet Ink

Most procurement agencies accept electronic signatures. Under federal law, a signature or contract cannot be denied legal effect solely because it is in electronic form.4Office of the Law Revision Counsel. United States Code Title 15 Section 7001 – General Rule of Validity Platforms like DocuSign and Adobe Sign are widely used. Federal agencies follow digital identity guidelines that require the authentication method to match the risk level of the transaction, referencing standards set by NIST and OMB.5General Services Administration. GSA Digital Signature Policy

Some tenders still require wet-ink signatures on original letterhead, particularly those issued by certain international organizations or government agencies. If the solicitation specifies “original signature,” an electronic version will not be accepted. When in doubt, ask the contracting officer before the deadline, not after.

Submitting the Form With Your Bid

The signed form is incorporated into your bid package as a supporting document, usually in the section dedicated to technical qualifications or compliance documents. Most modern solicitations use electronic procurement portals where you upload the form as a PDF alongside your pricing schedules, technical proposals, and any required bid security.

The form must be in the package at the time of bid submission. Under sealed bidding rules, a bid that fails to conform to the essential requirements of the invitation is rejected outright.1Acquisition.GOV. 14.404-2 Rejection of Individual Bids There is generally no grace period to send in a missing authorization after the deadline. If the solicitation lists it as essential and yours is not there, the bid is nonresponsive.

Renewal on Multi-Year Contracts

The authorization is tied to a single procurement. It is dated as of the tender submission and applies to that specific project, not as a blanket license across multiple contracts.

On multi-year contracts with option years, renewal may be needed when the contracting agency exercises an option. Under the GSA’s contract renewal process, contractors must affirm that there have been no changes to their commercial sales practices, discount relationships, and terms and conditions, and provide a signed letter on corporate letterhead from a corporate officer confirming this.6Vendor Support Center. OPEN – Options/Contract Renewal Process The principle carries over to manufacturer authorization: the agency wants current confirmation that your supply chain relationships remain intact. Keep your manufacturer partnership agreements in good standing throughout the contract period.

Consequences of a Missing, Defective, or Forged Form

An honest mistake still costs the bid. A form signed by someone without authority, or one that references the wrong tender number, gets flagged during compliance review as nonconforming, and a nonconforming form means a nonresponsive bid.1Acquisition.GOV. 14.404-2 Rejection of Individual Bids The agency will not investigate whether the error was intentional.

Fabricating or forging the form is a different order of problem. Under the False Claims Act, anyone who knowingly presents a false record or statement in connection with a claim to the federal government faces civil penalties per false claim, plus three times the damages the government sustains.7Office of the Law Revision Counsel. United States Code Title 31 Section 3729 – False Claims Fraud in connection with obtaining or performing a public contract, along with forgery, false statements, and falsification of records, is a listed cause for debarment from federal contracting.8Acquisition.GOV. 9.406-2 Causes for Debarment The care you put into getting a legitimate form, correctly filled out and signed by the right person, is what keeps both the bid and the business intact.
