Series 65 Exam: Requirements, Enrollment, and Passing Score

The Series 65 exam, formally the Uniform Investment Adviser Law Examination, is the test most states require you to pass before you can work as an investment adviser representative. It has 130 scored questions, costs $187, and you need at least 92 correct answers to pass. 1FINRA. Series 65 – Uniform Investment Adviser Law Exam NASAA writes the content; FINRA runs the testing logistics. One feature sets it apart from most securities exams: you do not need a firm to sponsor you to sit for it. 2North American Securities Administrators Association. Exam FAQs

Who Needs To Take It

Investment adviser representatives give securities advice and manage client portfolios for compensation. Most states require them to pass the Series 65 before registering. Because no sponsor is required, you can study, test, and then bring a passing score to a prospective employer or use it to launch your own registered investment advisory firm. 2North American Securities Administrators Association. There is one alternative worth knowing about. If you already hold a Series 7 (or plan to) and work for a broker-dealer that also offers advisory services, the Series 66 combined with a valid SIE and Series 7 gives you the equivalent of the Series 63 and Series 65 together. 2North American Securities Administrators Association. Exam FAQs The Series 66 is shorter at 100 scored questions because it skips material already tested on the Series 7. 3North American Securities Administrators Association. Series 66 Exam Content Outline If you are not pursuing a Series 7, the Series 65 is your path.

Structure and Passing Score

The exam contains 140 multiple-choice questions. Of those, 130 count toward your score, and 10 are unscored pretest items mixed in for statistical evaluation. You will not know which questions are unscored. 1FINRA. Series 65 – Uniform Investment Adviser Law Exam You get 180 minutes, a little over a minute per question if you use the full clock.

To pass, you need at least 92 of the 130 scored questions correct. 1FINRA. Series 65 – Uniform Investment Adviser Law Exam First-time pass rates hover around 65% to 70%, so plan your study time accordingly.

What the Exam Covers

NASAA splits the content into four weighted areas. 4North American Securities Administrators Association. Series 65 Exam Content Outline

  • Laws, Regulations, and Guidelines — 30%, 39 questions. State and federal securities regulation, fiduciary duty, ethics, and prohibited business practices, including the Uniform Securities Act.
  • Client Investment Recommendations and Strategies — 30%, 39 questions. Analyzing a client’s financial situation, recommending suitable investments, portfolio construction, and tax consequences.
  • Investment Vehicle Characteristics — 25%, 33 questions. Equities, fixed income, mutual funds and ETFs, derivatives, alternatives, and insurance products.
  • Economic Factors and Business Information — 15%, 20 questions. Macroeconomics, monetary and fiscal policy, financial reporting, time value of money, and basic statistics.

Candidates who fail often say the regulatory section surprised them. Investment concepts feel more interesting to study, so the registration procedures, recordkeeping rules, and prohibited-practice detail get shortchanged. The regulations section is worth exactly as many points as client recommendations, and its questions tend to be more granular. Weight your study hours accordingly.

How To Enroll

You must be at least 18 to sit for the exam. 5Financial Industry Regulatory Authority. Frequently Asked Questions about the Test Enrollment Services System (TESS) The enrollment path depends on whether you have a sponsoring firm.

Sponsored candidates: your firm’s compliance group files Form U4 for you through FINRA’s Web CRD system. The form captures legal, financial, and disciplinary disclosures. 6FINRA. Form U4

Unsponsored candidates enroll directly through FINRA’s Test Enrollment Services System (TESS). You provide your Social Security number, date of birth, contact information, and address, and TESS issues you a CRD number that stays with you throughout your career. 5Financial Industry Regulatory Authority. The $187 fee is non-refundable and non-transferable. Once enrollment goes through, you have a 120-day window to schedule and take the test. 2North American Securities Administrators Association. Exam FAQs Miss that window and the fee is gone.

Disclosures That Can Block You

Form U4 requires detailed answers about criminal history, regulatory actions, civil suits, bankruptcies, and customer complaints. Certain events trigger a “statutory disqualification” that can prevent registration entirely, including felony convictions, securities-related misdemeanors within the past ten years, injunctions tied to investment activity, and bars or suspensions from the SEC, CFTC, or a self-regulatory organization. State regulators can also issue final orders barring you based on fraud or other violations. 7FINRA. General Information on Statutory Disqualification and FINRA’s Eligibility Proceedings A statutory disqualification does not always mean permanent exclusion, but FINRA must review and approve your eligibility before you can register.

Scheduling and Cancellation Costs

You book your appointment through Prometric, which operates the testing centers. 8FINRA. Schedule an Exam Schedule early in your 120-day window. Popular centers fill up, especially at the end of a calendar quarter when compliance deadlines push a wave of candidates through.

If you need to change your appointment, the fee depends on how much notice you give: 9FINRA. Cancellation Policy

  • More than 10 business days out: no fee.
  • 3 to 10 business days out: $93.50.
  • Fewer than 2 business days out, or a no-show: $187, the full exam cost.

FINRA has no hardship policy. If something keeps you from testing and the window closes, the fee is forfeited. 9FINRA. Cancellation Policy

At the Test Center

Bring valid government-issued photo ID, such as a driver’s license or passport. Prometric staff verify your identity and run a security screening that can include electronic scans. Phones, watches, and study materials go into a locker before you enter the testing room.

You take the exam on a computer under monitoring. Once you finish or time expires, the software scores it immediately and prints a report showing pass or fail plus your performance in each content area. A passing result uploads automatically to the Central Registration Depository so state regulators can see it. 1FINRA. Series 65 – Uniform Investment Adviser Law Exam

If You Don’t Pass

You can retake the exam, but mandatory waiting periods apply and each attempt costs another $187. 2North American Securities Administrators Association. Exam FAQs

  • After the first or second failed attempt: wait at least 30 days.
  • After the third failed attempt: wait at least 180 days before trying again, and the same 180 days applies to every attempt after that.

NASAA calls waivers of the 180-day waiting period “extremely rare” and reserves them for circumstances outside your control. Three failures by itself does not qualify. 10North American Securities Administrators Association. Exams FAQ If you are approaching that third attempt, slow down and rework your study approach rather than burn the attempt and lock yourself into six months of waiting.

Waivers for Professional Designations

Most states let holders of certain credentials skip the Series 65 entirely. If you hold one of the following, you check a box in Section 8 of Form U4 and the CRD system verifies your active status with the certifying body: 2North American Securities Administrators Association. Exam FAQs

  • CFP (Certified Financial Planner)
  • CFA (Chartered Financial Analyst)
  • ChFC (Chartered Financial Consultant)
  • PFS (Personal Financial Specialist)
  • CIMA (Certified Investment Management Analyst)

A waiver covers the exam only. You still complete every other step of state licensing, including background checks and state registration fees. Not every state honors every designation, so confirm with the state regulator where you plan to register before counting on a waiver.

After You Pass: The Two-Year Rule

Passing the Series 65 does not make you a registered investment adviser representative. It satisfies the exam requirement. You still register with each state through Form U4, pay state licensing fees (typically $35 to $200 per state), and clear background checks.

Timing matters. Most states follow NASAA’s “two-year rule”: you have two years from passing the exam to register with a state, or the result expires. 2North American Securities Administrators Association. Exam FAQs Once registered, the exam stays valid as long as you remain continuously registered. If your registration terminates, usually when an employer files Form U5, the two-year clock restarts. Let it run out without re-registering and the exam shows as expired in CRD, meaning you would have to retake it.

In limited cases, a state may waive re-examination for an expired score. Ask the regulator in the state where you plan to register about their specific policy. 2North American Securities Administrators Association. Exam FAQs

Continuing Education Once Registered

In a growing number of states, investment adviser representatives have to complete annual continuing education. NASAA’s model rule calls for 12 credits a year: six in ethics and professional responsibility, and six in products and practice. 11North American Securities Administrators Association. IAR CE Requirements Overview It applies to representatives of both state-registered and federally covered advisers in states that have adopted the rule.

As of 2025, more than 20 jurisdictions have adopted IAR continuing education, with more states joining each year. 12North American Securities Administrators Association. IAR CE Member Adoption If your state is on the list, missing the annual deadline can put your registration at risk. Check with your state regulator or NASAA’s adoption page to confirm whether CE applies to you.
