“By proxy” means doing something through an authorized stand-in rather than in person. The word comes from the Latin procuratio, the act of caring for something on another person’s behalf, and in legal usage it describes an arrangement where one person (the principal) gives another (the proxy) written authority to act for them. You see it most often in three places: shareholder voting, medical decisions when a patient cannot speak for themselves, and certain marriage ceremonies.
How a Proxy Relationship Works
A proxy is an agent appointed by a principal to carry out specific tasks. The authority flows from a written document that spells out what the proxy can and cannot do. Once properly authorized, the proxy’s actions carry the same legal weight as if the principal had acted directly.
The relationship is fiduciary. Under the Restatement (Third) of Agency, a proxy owes the principal duties of loyalty, care, and good faith, and must act in the principal’s interest rather than for personal gain. If the proxy steps outside the boundaries in the authorization document, the principal generally is not bound by those unauthorized actions.
Duration depends on the document. Some proxy appointments cover a single event, such as one shareholder vote. Others stay active until the principal formally cancels them, which is typical for a healthcare proxy kept on file with a doctor or hospital.
Corporate Proxy Voting
Public-company shareholders who cannot attend an annual meeting designate a proxy to vote in their place. Federal law makes it illegal to solicit proxy votes from shareholders of publicly traded companies without following rules set by the Securities and Exchange Commission for investor protection and transparency.1Office of the Law Revision Counsel. 15 USC 78n – Proxies Before the meeting, the company sends every shareholder a proxy statement with disclosures about director nominees, executive pay, the independent auditor, and any proposals up for a vote.2eCFR. 17 CFR 240.14a-101 – Schedule 14A Information Required in Proxy Statement The proxy card itself must describe each action to be voted on and must tell the shareholder they can revoke the proxy at any time before the vote is counted.3SEC. Spotlight on Proxy Matters – The Mechanics of Voting
A shareholder proxy is narrow by design. It cannot authorize a vote for someone who has not been formally nominated, and it does not carry over to future meetings.4eCFR. 17 CFR Part 240 – Regulation 14A Solicitation of Proxies Shareholders return proxy cards by prepaid mail or through a secure online portal.
Healthcare Proxies
A healthcare proxy is someone you name in an advance directive to make medical decisions for you if you become unable to communicate your own wishes.5National Institute on Aging. Choosing a Health Care Proxy The authority activates only when a doctor determines you are incapacitated. While you are conscious and competent, your own decisions still control. Once activated, your proxy can authorize or refuse treatment, hire and fire medical staff, and access your medical records as if they were you under federal privacy rules.6GovInfo. 45 CFR 164.502 – Uses and Disclosures of Protected Health Information
If you never designate one, medical providers fall back on a default surrogate, usually your next of kin in a priority order set by state statute: spouse or domestic partner, then adult child, then parent, then sibling. Naming your own proxy lets you choose the person yourself instead of accepting whoever the statute puts first.
Marriage by Proxy
A proxy marriage is a wedding where a stand-in attends the ceremony on behalf of a partner who cannot be physically present. It exists mainly for deployed military personnel who cannot wait for leave to marry. Only a handful of states permit it, and most limit eligibility to active-duty service members or people with serious health conditions that prevent attendance. One state allows double-proxy marriages, where neither partner is present and both are represented by stand-ins.
The arrangement requires a power of attorney along with jurisdiction-specific paperwork. The proxy says the vows for the absent partner, the license is filed with the county clerk like any other marriage, and the marriage is legally valid. The point is practical: military families can access benefits such as healthcare coverage and housing allowances during long deployments.
Proxy vs. Power of Attorney
People often use these terms interchangeably, but they are not the same. Scope is the dividing line. A healthcare proxy covers medical decisions only and gives the agent no authority over your money, property, or legal affairs. A power of attorney can authorize someone to handle banking, real estate, taxes, investments, and other financial matters, but it does not let them make medical decisions.
If you want one person handling both roles, you need separate documents for each. In most jurisdictions, the legal form used to officially designate a healthcare proxy is called a durable power of attorney for healthcare, which is where some of the terminology confusion starts.
What Cannot Be Done by Proxy
Some things require you personally and cannot be delegated:
- Voting in federal, state, or local elections. Absentee ballots exist, but the voter casts them directly rather than through a representative.
- Testifying under oath. Court testimony, depositions, and sworn statements require the person with firsthand knowledge.
- Professional licensing exams in fields such as law, medicine, and real estate.
- Appearing as a criminal defendant. Arraignments, trials, and sentencing hearings generally require the defendant in person.
Within arrangements that are allowed, the proxy’s authority still has hard edges. A shareholder proxy cannot vote on matters outside the proxy statement.4eCFR. 17 CFR Part 240 – Regulation 14A Solicitation of Proxies A healthcare proxy cannot override a patient’s own clearly expressed wishes while the patient is still competent. Anything outside the written scope is not binding on the principal.
Appointing and Revoking a Proxy
Setting up a proxy means putting the arrangement in writing. The document should identify both people by full legal name and address, define exactly what the proxy can decide or do, state whether the authorization covers one event or continues until revoked, and carry the principal’s signature. Healthcare proxies in most states also require one or two adult witnesses, and the person being named as proxy generally cannot serve as a witness.
For shareholder voting, the company sends the proxy card with your meeting materials; you return it by mail or submit it through the investor portal. For a healthcare proxy, you fill out your state’s durable power of attorney for healthcare form and give copies to your proxy, your primary care doctor, and any hospital where you receive care.5National Institute on Aging. Choosing a Health Care Proxy For a proxy marriage, forms come from the county clerk in a jurisdiction that permits it, usually with notarized signatures.
You can cancel a proxy at any time. The usual methods are a signed written revocation delivered to whoever holds the original, a new proxy document that automatically replaces the old one, or simply showing up and acting in person. At a shareholder meeting, attending and voting directly overrides any proxy you submitted earlier, and the company records the last proxy received before the polls close.3SEC. Spotlight on Proxy Matters – The Mechanics of Voting Some states also allow an oral revocation of a healthcare proxy in front of witnesses when the principal cannot sign.
After revoking, tell everyone who has a copy: the former proxy holder, your doctor, the company’s transfer agent, or the relevant clerk’s office. A revocation stops future actions but does not undo anything the proxy already did while authorized.
