In a legal document, a commencement date is the specific day that obligations under a contract, lease, insurance policy, or lawsuit actually begin. That is the short answer to what commencement date means, and it carries real weight: every deadline, payment schedule, renewal window, and legal right tied to the agreement is measured from this single point. Confuse it with the day the paperwork was signed, leave it vague, or count from the wrong event, and you can lose deductions, miss filing windows, or end up in a dispute that was entirely avoidable.
Commencement Date vs. Execution Date
The signing date and the commencement date are often not the same day, and treating them as interchangeable is the most common mistake people make with this term. The execution date is when all parties sign. The commencement date is when performance actually starts.
An employment contract might be signed on March 1, but the employee’s first day could be March 15. A construction agreement might be executed in January, with work waiting on permits until April. In the window between those two dates, the contract exists and binds the parties, but most of the duties it describes are dormant. If someone tries to cancel during that window, what they owe depends entirely on how the contract defines commencement and what obligations attach to it. Agreements that blur the two dates invite arguments about when performance was really due.
What the Commencement Date Triggers
The meaning of the term shifts slightly with context, because what “performance begins” looks like depends on the kind of agreement.
Contracts and Service Agreements
In commercial contracts, the commencement date is when services must begin, goods must ship, and payment obligations start running. Federal tax law uses its own version for long-term contracts: the “contract commencement date” is the first date any costs beyond bidding or negotiation expenses are charged to the contract.1Legal Information Institute. 26 U.S.C. 460(g) – Definition of Contract Commencement Date That technical definition controls which accounting method applies to projects spanning multiple years.
Leases
Commercial leases typically use three dates that look alike but mean different things. The possession date is when the landlord hands over the space, often after build-out is finished. The commencement date is when the tenant’s lease rights and obligations begin. The rent commencement date is when rent actually starts accruing, and it is frequently set later than the commencement date to give the tenant time to finish renovations or move in without paying for an unusable space. Residential leases usually collapse all three into a single day, but a commercial tenant who assumes the same thing will be surprised by the first invoice.
Employment
An employee’s commencement date is the first day of work for pay, and it triggers a cascade of compliance deadlines. Federal law requires employers to complete Section 2 of Form I-9 within three business days of that date. An employee starting Monday must have the verification done by Thursday.2USCIS. Completing Section 2, Employer Review and Attestation For jobs lasting fewer than three days, both sections must be completed on day one. The same date controls when benefits start accruing, when probationary periods begin, and when retirement plan eligibility windows open.
Insurance Policies
Insurance contracts usually call the commencement date the “effective date.” It marks when coverage begins. For policies issued under certain federal programs, benefits become payable any time after the effective date.3eCFR. 38 CFR 8.1 – Effective Date for an Insurance Policy If your policy will be preceded by a temporary binder, you need to know exactly when the permanent effective date takes over to avoid a gap.
Lawsuits
In federal court, a civil action is commenced by filing a complaint.4Legal Information Institute. Federal Rules of Civil Procedure Rule 3 – Commencing an Action That filing date is the commencement date for the case, and nearly every procedural deadline runs from it. Miscounting from the wrong starting point can mean a dismissed claim or a default judgment.
How a Commencement Date Gets Set
A Fixed Calendar Date
The simplest method: the parties pick a date and write it in. “This agreement commences on July 1, 2026.” No ambiguity, no conditions. This is standard for residential leases, subscription services, and employment start dates.
A Condition Precedent
Sometimes commencement is tied to an event that has not happened yet. A condition precedent is something that must occur before obligations under a contract become due.5Legal Information Institute. Condition Precedent Obtaining a permit, passing a background check, or securing financing are common examples. Until the condition is met, the clock does not start. If the condition is never satisfied, the commencement date never arrives, and the parties may disagree about whether the contract was ever truly in effect.
Operation of Law
Some commencement dates are not negotiated at all. Statutes, regulations, court orders, and administrative rulings generally include their own effective dates. No one bargains over when a new tax rule takes effect; it just does, on the date the statute specifies. Compliance obligations begin automatically.
When the Document Is Silent
If a contract never states a commencement date, most courts default to the execution date or the date the parties began performing. That default is a poor substitute for a written date, because each side may remember the start differently, and resolving that disagreement after a dispute begins costs far more than drafting the date in the first place.
Deadlines Measured From the Commencement Date
A commencement date is only as important as the deadlines it triggers, and missing one because you counted from the wrong day rarely gets a second chance.
Under the Uniform Commercial Code, which governs sales of goods in every state, a suit for breach of a sales contract must be filed within four years after the cause of action accrues. The clock runs from the moment of breach, even if the injured party does not yet know. For a warranty breach, accrual usually happens at delivery. Parties can shorten the window to as little as one year but cannot extend it beyond four.6Legal Information Institute. UCC 2-725 – Statute of Limitations in Contracts for Sale A narrow exception: when a warranty explicitly covers future performance, the clock does not start until the defect is or should have been discovered.
Payment schedules, milestone deadlines, lease renewal notice periods, and insurance claim windows all work the same way. Count from the commencement date, not from when things felt like they got going. If your lease commenced October 1 but you did not move in until October 15, your renewal notice clock still runs from October 1.
Tax Timing for New Businesses
For anyone starting a business, the commencement date carries direct tax consequences. Under federal tax law, a business owner can elect to deduct up to $5,000 in startup costs in the year the business begins active operations. That deduction phases out dollar-for-dollar once total startup costs exceed $50,000 and disappears entirely at $55,000.7Office of the Law Revision Counsel. 26 U.S.C. 195 – Start-Up Expenditures Costs that cannot be deducted immediately are amortized over 180 months, beginning with the month the business commences.8eCFR. 26 CFR 1.195-1 – Election to Amortize Start-Up Expenditures
The election to deduct is treated as automatic for the year the business commences. To forgo it and capitalize the costs instead, you must affirmatively elect to do so on a timely filed return for that year, and the choice is irrevocable.8eCFR. 26 CFR 1.195-1 – Election to Amortize Start-Up Expenditures Pinpointing when the business actually commenced operations decides which tax year holds the deduction and when the 180-month amortization window opens.
Risks of Ambiguity and Backdating
Vague language like “commencement shall occur upon completion of initial setup” invites disputes. If the parties disagree about whether setup finished on March 10 or April 2, every deadline in the contract becomes uncertain. Courts resolve this kind of ambiguity by construing unclear terms against the party who drafted the contract.9Legal Information Institute. Contra Proferentem The drafter was in the best position to write a clear date, so the other side gets the benefit of the doubt.
Backdating a commencement date is not automatically illegal. Parties sometimes paper a deal weeks after they shook hands and started performing, and reflecting the real start date can be legitimate. The line is crossed when backdating is used to deceive. The IRS treats backdating documents to claim earlier deductions or defer income as evidence of willful tax evasion, a felony carrying fines up to $250,000 for individuals and up to five years in prison.10IRS. Tax Crimes Handbook Backdating that misleads creditors, manipulates financial statements, or misrepresents when a deal was formed can also support claims of fraud or forgery. Courts look at intent, harm, and whether the backdating was disclosed.
Drafting a Commencement Date That Holds Up
Use a specific calendar date whenever possible. “This agreement commences on January 15, 2026” leaves nothing to argue about. If commencement must depend on an event, define that event in measurable terms, such as “the date the building permit is issued by the county,” rather than “when all approvals are obtained.” Spell out what happens if the triggering event is delayed or never occurs, including whether either party can walk away after a set deadline.
State the execution date, commencement date, and (for leases) rent commencement date separately, even when two of them fall on the same day. Making that explicit prevents anyone from later arguing they were supposed to differ. Once the commencement date actually occurs, confirm it in writing, particularly when it was tied to a condition. A short email noting “the permit was issued today, so the agreement commences as of April 3” creates a paper trail that pays for itself if a dispute surfaces years later.
